CONFIDENTIAL DISCLOSURE AGREEMENT

improvements and/or inventions relating to ________________________________________________________

(the invention) to_____________________________________________________________________________
(the receiving party) it is understood, warranted and agreed as follows:
1. Revealing of discoveries, improvements and/or inventions is and will remain fully confidential and no
disclosure or use of any type whatsoever of the discoveries, improvements and/or inventions, through commerce,
research, or in any other way will be made by the undersigned receiving party without subsequent written
agreement or written approval by the undersigned disclosing party.
2. The disclosing party has the right to disclose the discoveries, improvements and/or inventions mentioned
and the right to make this agreement.
3. Any apparatus, prototypes, models and/or all written material, if any, including drawings, written descriptions,
models, photographs, and other technical data or information loaned or used to disclose the discoveries,
improvements and/or inventions, will be preserved in complete confidence and promptly returned to the disclosing
party by the receiving party upon request.
4. The receiving party covenants that he/she/it will not compete with or cause anyone else to compete with the
disclosing party or their designee in respect to the substance of the above identified development.
5. In the event of default of this agreement requiring either party to enforce the same, the losing party agrees to
pay the prevailing party all of its costs including reasonable attorneys’ fees.
